1. Acceptance of Terms

By accessing and using the services provided by Synaxus ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Synaxus provides in-store marketing and consumer engagement services, including but not limited to:

  • Product demonstration and sampling events
  • Consumer engagement and brand activation
  • Retail event planning and execution
  • Marketing consultation and strategy
  • Performance analytics and reporting

3. Use License

Permission is granted to temporarily access the materials on Synaxus's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to reverse engineer any software contained on the website
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

4. Service Agreements

When engaging our services, specific terms and conditions will be outlined in individual service agreements. These agreements will detail:

  • Scope of services to be provided
  • Timeline and deliverables
  • Pricing and payment terms
  • Client responsibilities and obligations
  • Cancellation and modification policies

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Payment is due according to the schedule outlined in your service agreement
  • Late payments may result in service suspension or termination
  • All fees are non-refundable unless otherwise specified
  • Additional services may incur additional charges

6. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information
  • Cooperate with our team during service delivery
  • Provide necessary access to retail locations and facilities
  • Ensure compliance with local regulations and permits
  • Maintain appropriate insurance coverage
  • Pay invoices in a timely manner

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Synaxus and its licensors. The Service is protected by copyright, trademark, and other laws.

Any materials, reports, or deliverables created specifically for your project will be outlined in your service agreement regarding ownership and usage rights.

8. Limitation of Liability

In no event shall Synaxus, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted
  • Any errors or omissions in any content or for any loss or damage incurred

9. Indemnification

You agree to defend, indemnify, and hold harmless Synaxus and its licensors and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Service or your use of the Service.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

11. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Florida, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
